Influencer Exclusivity Clauses: Price the Actual Conflict

Exclusivity buys a defined restriction on other work. It should protect a real campaign conflict, not become a vague claim over everything a creator might say about gambling or crypto.

Describe the conflict you need to avoid

Name the competing products or brands and the surfaces that matter. A casino sponsor may care about another operator appearing in the same live programme. A wallet demonstration may need a narrower product conflict than every company using a blockchain.

Separate paid endorsement, ordinary editorial discussion and incidental background exposure. The appropriate agreement needs qualified advice, but the marketing team can first explain the actual commercial concern in plain language.

Set a usable time and channel boundary

Record when the restriction begins and ends, including any agreed pre-launch or cooling-off period. Identify whether it covers the booked stream, all sponsored posts or broader activity. Avoid a global category restriction when the campaign only needs one event window.

Ask about existing obligations before the booking becomes a commitment. A creator cannot promise an exclusive period that overlaps another accepted deal. Keep the answer in the commercial record rather than relying on the sales contact’s memory.

Price the restriction separately enough to compare

A broader restriction can remove other opportunities, but there is no universal premium to insert into every quote. Request current terms for the actual scope. Keep the content work and conflict protection understandable even if the supplier bundles the price.

In a hypothetical campaign, the buyer wants a two-week product-specific restriction while one quote assumes three months across all crypto work. Normalise the request before deciding which creator costs more. The difference may be scope rather than market power.

Keep content rights and disclosure separate

Exclusivity does not itself grant a licence to edit or advertise with the creator’s footage. The Copyright Office’s guidance is relevant to the separate rights question. Describe the assets and uses in their own schedule.

A paid exclusive relationship also remains a material connection. The FTC’s disclosure guidance applies where relevant. Do not ask the creator to make the sponsorship look independent simply because they are prevented from working with competitors.

Define what happens when circumstances change

Give the parties a route to ask about a borderline opportunity, correct an accidental conflict or amend dates after an event moves. Use a streamer term sheet to connect exclusivity with delivery and cancellation before counsel drafts the agreement. Counsel should review remedies and enforceability for the real agreement. This page is a scoping aid, not legal drafting.

Choose the narrow protection the campaign can justify. 3betmedia can discuss creator coordination and the relevant conflict brief. Bring the competitor concern and planned dates rather than a demand for unlimited ownership of a creator’s category.

A crypto KOL contract should separate content restrictions from token-related obligations.

Frequently asked questions

Does exclusivity include usage rights?

Not automatically. Restrictions on other work and permission to use content are separate commercial terms.

Is broad category exclusivity always safer?

It can be costly, unclear and difficult to operate. Define the actual conflict and obtain appropriate advice on the agreement.
