Start with an asset schedule
Name the product, creator, commissioning party and supplied brief version. List each final video, alternate opening, aspect ratio and any raw footage. A request for “three UGCs” does not establish whether the buyer expects three concepts or three exports of one edit.
Current brand-facing UGC contract resources distinguish asset production from creator posting. Use that distinction in the commercial schedule. If audience distribution is required, specify it as a separate deliverable rather than relying on the creator’s follower count to imply a post.
Define review and changed-brief work
Agree the review contact, response process and included revision scope. Distinguish a failure to follow the accepted brief from a new concept requested after filming. The parties need a workable route for both; unlimited revisions can conceal an undecided brief.
Set what happens when the product build, shipment or approved claim changes. Do not require the creator to record an unsupported personal experience to meet a deadline. Hold or revise the message when its factual basis is missing.
Write the licence separately from delivery
Record the assets, channels, paid or organic use, territory, duration and permitted edits. Clarify creator likeness, voice and third-party materials. The Copyright Office explains rights ownership and transfer; possession of a file is not a substitute for the applicable licence.
Source footage and project files are also separate items. If the brand needs future cutdowns, make the editing permission and supplied material explicit. Do not assume AI voice replication or synthetic likeness use is included in ordinary video rights.

Connect payment to understandable acceptance
Specify fee, milestones, expenses and payment dates in the actual agreement. Describe how the buyer identifies a material defect and how conforming work is accepted. Do not invent a universal industry review period or copy a supplier’s default as if it governs every commission.
In a hypothetical commission, a creator delivers the agreed demonstration correctly but the brand later changes its product naming. That is a changed requirement, not evidence that the original performance failed. The commercial process should make the additional work visible.
| Schedule item | Production decision |
|---|---|
| Deliverable | Distinct concepts, alternate openings, export formats and source footage |
| Review | Named reviewer, specific defect process and changed-brief treatment |
| Licence | Assets, channels, territory, term, paid use and edits |
| Payment | Agreed fee, milestones and accepted-work process |
| Exit | Cancellation, removal and rights-expiry responsibilities |
Give counsel the unresolved decisions
List confidentiality, cancellation, removal, indemnity and jurisdiction questions for qualified advisers. This page is a briefing checklist, not legal language to paste into a contract. Applicable employment, union, tax and advertising issues depend on the real parties and work.
Keep the final schedule with the accepted asset version and rights expiry. A signed document that nobody can connect to the delivered file leaves future editors guessing. The useful agreement is one the production and marketing teams can actually operate.
Compare UGC usage-rights pricing only after the licence schedule is explicit.
Frequently asked questions
Does paying for a video transfer copyright automatically?
Do not assume so. Establish ownership and the exact licence or transfer in the applicable agreement with qualified advice.
Should raw footage be listed separately?
Yes. Identify what is delivered and what edits and future uses are permitted; final exports alone do not imply access to source material.
